The MainPower Trust is the organisation which holds the shares of MainPower New Zealand Limited. The Trust has seven Trustees. Trustee elections are held every three years and Trustees are elected by the qualifying customers of MainPower.
The enactment of the Energy Companies Act 1992 required MainPower to become a company with a clear ownership structure and a Company Establishment Plan was developed for this purpose.
The MainPower Trust was established on 24 October 1995 to hold in trust the qualifying customers' and community's entitlement until such time as a distribution was made, and this is the situation right through to the present day. It was agreed MainPower's qualifying customers would be entitled to 80% of the MainPower Trust Fund including the ordinary shares that the Trust held in MainPower. The community as a whole would be entitled to the remaining 20%.
By law, the MainPower Trust must be wound up no later than 25 April 2073. The MainPower Trust assets will, unless there has been a distribution and the Trust wound up at an earlier date, vest in a charitable trust that will be known as the MainPower Foundation.

The Board of Directors is responsible for overseeing the activities of MainPower and governing the company
Tony joined as a Director in August 2016 and appointed Chairman in July 2017. He is a member of the Board's Remuneration Committee, Audit and Risk Committee and Safety, Wellbeing and Environment Committee.
Tony has extensive experience in senior operational and corporate management roles, as an independent consultant and over 15 years as a company director.
Other directorships: Mt Cass Wind Farm Ltd, Greenpower NZ Ltd, Option One Ltd, RBL Property Ltd and Barhill Chertsey Irrigation Limited.
Graeme joined as a Director of MainPower in August 2016 and is a member of the Board's Remuneration Committee and a member of the Safety, Health, Wellbeing and Environment Committee.
Graeme is currently General Manager of Hanmer Springs Thermal Pools and Spa, working closely with the complex owner Hurunui District Council, to promote the local region as a significant tourism destination.
Janice joined as a Director of MainPower in August 2016 and is Chair of the Board's Audit and Risk Committee.
Janice is a professional director with a broad portfolio of current and past directorships, and extensive executive experience. She is a Chartered Accountant and a Chartered Member of the Institute of Directors and holds a Master of Business Administration (Massey).
Other directorships: Janice is Chair of the Civil Aviation Authority and the Aviation Security Service. She is a council member of Lincoln University and a Director of NIWA and NIWA Vessel Management Limited, Aurora Energy Limited, NZ Growth Capital Partners Limited. Janice is also a Trustee of NZ Shipwreck Welfare Trust, Tregynon Charitable Trust and an independent member of the Timaru District Council Audit and Risk Committee.
Fraser joined as a Director of MainPower in August 2018.
Fraser is the current CEO of Pioneer Energy, a position held since 2010. He has more than 25 years’ experience in the energy sector as an energy consultant in South Africa before moving to New Zealand and being involved in the distribution, generation and retail environment in both New Zealand and Australia.

Stephen joined as a Director of MainPower in September 2008 and is Chair of the Safety, Health, Wellbeing and Environment Committee, a member of the Remuneration Committee and sits as the Board representative on the Strategic Asset Management Steering Group.
Stephen is a company director and business consultant with over 45 years’ experience in the electricity supply industry. He has held governance positions in the commercial and not-for-profit sectors. He has previously held executive and senior operational roles in the UK, US and South America. Stephen is a Chartered Member of the Institute of Directors.

Brian joined as a director of MainPower in August 2018 and is a member of the Audit and Risk Committee. He is an experienced professional director with extensive consulting experience. He is also a Chartered Fellow of the Institute of Directors and holds a Master of Business Administration (Otago).
Other directorships: Brian is Chairman of Invercargill City Holdings Ltd and a director of HWPC Ltd Invercargill Central Ltd.
Our Executive Team head up the nine divisions of MainPower, overseen by Chief Executive Andy Lester.
Andy's priority is enabling a strong team to deliver the Asset Management Plan and position the business for growth in the future. Through strengthening the core business, he is ensuring MainPower is able to provide a safe, secure and sustainable business for current and future generations.
Andy has extensive leadership, operations and marketing experience across a diverse range of sectors. Andy was appointed Chief Executive at MainPower in 2017 and has previously held various governance, executive leadership and management roles at Christchurch International Airport, Wrightsons Ltd, General Cable and Caltex Oil.
GENERAL MANAGER NETWORK PLANNING AND STRATEGY
Mark is passionate about strategic leadership of businesses, its people and stakeholders that enhance the environment and community wellbeing while delivering sustainable shareholder value. Mark has over 20 years’ experience working within the electrical energy sector with various roles that include Research and Design, Airports and Power Distribution companies. Mark is responsible for all strategic planning and delivery of the annual work program that enables community sustainability through a Smarter Network services while enhancing local value.
GENERAL MANAGER FINANCE
The Finance team is responsible for acquiring funds and managing these funds efficiently and effectively within the organisation to align with the strategic goals of MainPower. The team ensures the financial control and reporting necessary to support the Board and business, as well as in meeting MainPower’s external statutory reporting obligations.
Sarah is a Chartered Accountant with extensive experience both in public practice and across a range of industries in the public and private sectors. Since returning from overseas and prior to joining MainPower, Sarah has held roles at AllTerra, Kelly Services, and Canterbury District Health Board.
GENERAL MANAGER SERVICE DELIVERY
The Service Delivery team works closely with Field Service and Network Strategy Planning to ensure projects are managed on time, to budget and specification.
Peter is an experienced senior manager with a wealth of experience in procurement, supply chain and operational roles and has a strong customer service ethos.
He has previously held roles at Te Rūnanga o Ngāi Tahu, Vector Limited, Christchurch International Airport and Air New Zealand.
GENERAL MANAGER SAFETY AND BUSINESS RISK
The Safety and Business Risk team's mission is to integrate risk into everything we do at MainPower. By building a deeper understanding of critical risk we are able to prioritise prevention activities designed to keep our people, community and environment safe.
Karen is an experienced business risk manager, with a strong history of working in the utilities industry across Australia and New Zealand. Karen has held roles at Vector Limited, Downer EDI Mining-Blasting Services Pty Ltd and Aqwest.
GENERAL MANAGER CUSTOMER AND CORPORATE RELATIONS
The Customer and Corporate Relations team is dedicated to improving the customer experience, enhancing our digital platforms and continuing to support North Canterbury through our community and sponsorship activities. Proactive customer engagement is helping to inform our Asset Management Plan and strategic decisions to ensure we take into consideration the needs of current and future generations.
Penny has over 15 years’ experience in customer engagement, marketing and communications. Penny has worked across a range of industries, holding roles at Wyma Solutions, Cavell Leitch, Seequent and Fujitsu.
GENERAL MANAGER PEOPLE AND CULTURE
Providing a fair and supportive work environment where the highest levels of competency are maintained is one of the core focus areas for the People and Culture team. Personal development is encouraged for all employees and employee engagement is actively measured on a regular basis.
Sandra has spent the last decade with MainPower. Prior to this, she has worked at Crusaders and Canterbury Rugby, Solid Energy New Zealand Ltd and The Press, all in senior leadership roles.
GENERAL MANAGER COMMERCIAL
Delivering shareholder value through continual business improvement and new growth opportunities is the aim of the Commercial team. Maintaining positive relationships with industry regulators and suppliers is also key to ensuring MainPower is compliant and meeting all business requirements. The team is also leading the delivery of the Mt Cass Wind Farm project.
Todd is a finance leader with internationally proven ability to operate across a diverse range of industries and organisations. Prior to joining the MainPower team, Todd has most recently held positions at LafargeHolcim, The Vita Group and Multiplex.
